License Terms / PLR & MRR License Policy

1. Overview

These License Terms / PLR & MRR License Policy explain the license rights customers receive when purchasing digital products from System Digital Studio through systemdigitalstudio.com.

System Digital Studio sells digital products, PLR products, MRR products, editable templates, downloadable files, online resources, digital bundles, business resources, and related digital content.

When you purchase a digital product from System Digital Studio, you are purchasing a limited license to use that product according to the license terms that apply to that specific product. You are not purchasing ownership of System Digital Studio, our website, our store, our brand, our trademarks, our product packaging, our original graphics, our sales copy, our store assets, our private systems, or any protected materials that are not expressly included in your license.

2. Product-Specific License Controls

Each product may have different license rights.

The specific license listed on the product page, sales page, checkout page, product description, download page, or included license file controls what you can and cannot do with that product.

PLR rights, MRR rights, commercial use rights, personal use rights, white-label rights, editable rights, resale rights, giveaway rights, transfer rights, and redistribution rights are not automatically included unless they are clearly stated for that specific product.

If a product page or included license does not clearly say that a right is included, you should assume that the right is not included.

3. Default License Rule

Unless a product page or included license clearly states otherwise, all products are sold under a Personal Use License only.

This means that, by default, you may use the product for your own personal or internal use only. You may not resell, share, redistribute, upload, transfer, sublicense, repackage, give away, or commercially exploit the product unless the applicable product license clearly allows it.

4. Customer Responsibility to Review License Details

You are responsible for reading the product description, product page, checkout information, download information, and any included license file before purchasing or using a product.

By purchasing, downloading, accessing, or using a product from System Digital Studio, you agree to follow the license terms that apply to that product.

If you are unsure what license applies to a product, contact us before purchasing or before using the product in any commercial, resale, PLR, MRR, or white-label manner.

5. Limited License, Not Ownership

Your purchase gives you a limited, non-exclusive, non-transferable, revocable license to use the purchased product according to the applicable license terms.

Your purchase does not give you ownership of:

System Digital Studio’s name, logo, brand identity, website design, store design, or trademarks;
System Digital Studio’s product images, product mockups, product packaging, product descriptions, sales pages, sales copy, advertising copy, or promotional materials;
System Digital Studio’s private download links, customer areas, accounts, checkout systems, backend systems, workflows, templates, or store assets;
Any third-party materials, fonts, graphics, stock assets, software, or platform assets that may be subject to separate license terms;
Any rights not expressly granted in the applicable product license.

All rights not clearly granted are reserved by System Digital Studio or the applicable rights owner.

6. Personal Use License

A Personal Use License allows you to use the product for your own personal, private, educational, or internal use only.

Under a Personal Use License, you may:

Download and access the product for your own use;
Use the product for personal learning, planning, reference, or internal organization;
Make reasonable personal-use copies for your own devices or backups.

Under a Personal Use License, you may not:

Sell, resell, license, sublicense, or distribute the product;
Share the product with others;
Upload the product to public websites, public drives, file-sharing platforms, communities, groups, forums, or marketplaces;
Use the product for client work unless commercial use is clearly included;
Rebrand the product and sell it as your own;
Give the product away as a freebie, lead magnet, bonus, or bundle item;
Claim ownership, authorship, copyright, or exclusive rights in the unmodified product.

Personal Use Licenses do not include PLR, MRR, resell rights, commercial use rights, transfer rights, or white-label rights unless clearly stated for the specific product.

7. Commercial Use License

A Commercial Use License allows you to use the product for your own business or client projects only when commercial use is clearly included in the product license.

When a Commercial Use License is clearly included, you may use the product to support your own business activities, such as creating content, designs, documents, marketing materials, internal business resources, or client deliverables, subject to the specific product license.

Unless the product license clearly says otherwise, a Commercial Use License does not allow you to:

Resell the original product files;
Sell the editable source files as a standalone product;
Share, upload, or redistribute the raw product files;
Give the product away for free;
Pass commercial use rights, PLR rights, MRR rights, resale rights, or white-label rights to others;
Sell the product in a way that competes with System Digital Studio’s original product;
Claim ownership of System Digital Studio’s original source files, branding, packaging, graphics, sales materials, or protected assets.

For client projects, you are responsible for making sure your client uses the final deliverable only within the rights allowed by the applicable license. You may not use a client project as a way to transfer the original product files or expanded rights unless the license clearly allows it.

8. PLR License

A PLR License means Private Label Rights. PLR rights are included only when the product page, sales page, checkout page, download page, or included license file clearly states that the product includes PLR rights.

When PLR rights are clearly included, the license may allow you to edit, customize, modify, rebrand, and use the content under your own brand, subject to the specific license terms for that product.

Depending on the product’s included license, PLR rights may allow you to:

Edit the content;
Rebrand the content;
Modify text, design, layout, formatting, or structure;
Add your own business name, logo, branding, or style;
Combine the content with your own materials;
Use the modified product for your own business;
Sell a modified version under your own brand if resale is clearly allowed.

Unless the product license clearly says otherwise, a PLR License does not automatically allow you to:

Resell the original unmodified files;
Transfer PLR rights to your customers;
Transfer MRR rights to your customers;
Give the product away for free;
Upload the product to free download sites or public communities;
Claim copyright ownership over the original unmodified source files;
Use System Digital Studio’s brand, logo, product images, sales copy, website identity, or store assets;
Represent the original product as exclusively created by you unless you have materially modified and rebranded it and the license allows that use.

PLR rights apply only to the specific product for which PLR is clearly granted. PLR rights do not apply to every product sold by System Digital Studio.

9. MRR License

An MRR License means Master Resell Rights. MRR rights are included only when the product page, sales page, checkout page, download page, or included license file clearly states that the product includes MRR rights.

When MRR rights are clearly included, the license may allow you to resell the product and pass specified resale rights to your own customers, subject to the exact terms of the product’s included license.

Depending on the product’s included license, MRR rights may allow you to:

Resell the product to your customers;
Keep the revenue from your permitted resale activity;
Pass resale rights to your customers if the included license clearly allows it;
Sell the product through your own website, store, funnel, or approved platform if permitted by the license.

Unless the product license clearly says otherwise, an MRR License does not automatically allow you to:

Edit or rebrand the product as PLR;
Claim ownership or authorship of the original product;
Transfer copyright ownership;
Sell the product using System Digital Studio’s name, logo, store identity, product images, sales copy, or branding;
Give the product away for free;
Include the product in free bundles, public drives, file-sharing groups, or free download communities;
Sell access links, private download links, customer account access, or member area access;
Pass broader rights to your customers than the rights you received;
Use misleading income claims, fake testimonials, deceptive scarcity, false advertising, or unlawful marketing tactics to sell the product.

Your resale customers may receive only the rights that the applicable product license allows you to pass on. You are responsible for giving your customers accurate license terms and for not promising rights that you do not have.

10. Resell Rights License

A Resell Rights License allows resale only when resale rights are clearly stated for the specific product.

When resale rights are clearly included, you may sell the product according to the product’s included license terms. Resale rights may be limited by platform, price, format, territory, customer type, modification rules, or other restrictions listed in the product license.

Unless the product license clearly says otherwise, resale rights do not allow you to:

Claim ownership of System Digital Studio’s original brand, store assets, source files, or protected materials;
Use System Digital Studio’s name, logo, product images, website design, store design, or brand identity as if they belong to you;
Sell the product in a misleading or deceptive way;
Sell or transfer private access links, download links, account access, or restricted member access;
Give away the product for free;
Upload the product to public download platforms, free file-sharing sites, torrent sites, public communities, or public drives;
Pass PLR, MRR, white-label, or commercial rights unless those rights are clearly included.

Resale rights apply only to the specific product for which resale rights are clearly granted.

11. White Label License

A White Label License allows rebranding and selling a product as your own only when white-label rights are clearly stated for the specific product.

When white-label rights are clearly included, the license may allow you to add your own brand name, logo, design style, packaging, and product presentation, subject to the specific license terms for that product.

Unless the product license clearly says otherwise, a White Label License does not transfer ownership of:

System Digital Studio’s backend systems;
System Digital Studio’s Shopify store, website, checkout, automations, member areas, or private systems;
System Digital Studio’s name, logo, trademarks, brand identity, website design, product images, product mockups, sales copy, or unrelated assets;
Third-party assets, tools, fonts, graphics, software, or platform rights;
Any copyright or intellectual property rights not expressly transferred in writing.

White-label rights apply only to the specific product for which white-label use is clearly granted. White-label use does not automatically include MRR, PLR, commercial use, giveaway rights, or broad redistribution rights unless clearly stated.

12. Editable Files and Source Files

Some products may include editable files, templates, source files, documents, graphics, design files, spreadsheets, prompts, swipe files, or other working files.

Access to editable or source files does not automatically mean that you may resell, redistribute, share, upload, transfer, or give away those files.

Unless the applicable product license clearly says otherwise, editable and source files are provided only for your permitted use under the license that applies to that product.

13. Bundles and Mixed-License Products

Some bundles may contain products with different license rights.

A license granted for one item in a bundle does not automatically apply to every item in that bundle. Each file, product, module, template, document, or resource may have its own license restrictions.

You are responsible for reviewing the license details for each included item before using, editing, selling, distributing, or marketing it.

14. Third-Party Assets and Platform Requirements

Products may reference, integrate with, or be used on third-party platforms, marketplaces, software tools, social media platforms, payment processors, advertising platforms, hosting services, email tools, design tools, or ecommerce platforms.

You are responsible for following all third-party terms, marketplace rules, advertising rules, payment processor rules, platform policies, tax rules, and applicable laws.

System Digital Studio is not responsible if your marketplace, social media account, payment processor, ad account, website, hosting account, ecommerce platform, email platform, design tool, or other third-party service rejects, removes, restricts, suspends, bans, demonetizes, or limits your use of a product.

15. Prohibited Uses

You may not use any System Digital Studio product in any way that is not allowed by the applicable product license.

Prohibited uses include, but are not limited to:

Unauthorized sharing, leaking, uploading, giving away, or redistributing products;
Uploading products to free download sites, file-sharing sites, torrent sites, public drives, public communities, forums, groups, or similar platforms;
Selling products in a way that violates the specific product license;
Claiming copyright ownership over unmodified System Digital Studio source files unless the license clearly allows it;
Using products for illegal, deceptive, harmful, fraudulent, defamatory, hateful, adult, gambling, spam, malware, phishing, misleading, or abusive activity;
Using System Digital Studio’s name, logo, website design, branding, product images, product packaging, sales copy, product descriptions, or store identity as if they belong to you;
Reselling access links, private download links, member area access, download pages, restricted files, or customer account access;
Mass redistribution unless clearly allowed by the applicable product license;
Creating false scarcity, fake testimonials, misleading income claims, fake endorsements, or deceptive marketing around the product;
Selling, licensing, or distributing the product in a way that damages System Digital Studio, its brand, its products, its customers, or its legal rights;
Removing copyright notices, license notices, disclaimers, or attribution notices when the product license requires them to remain;
Reverse engineering, scraping, copying, cloning, or reproducing System Digital Studio’s website, store structure, checkout process, private systems, product pages, product packaging, or brand identity;
Using the product in any way that violates applicable law, third-party rights, platform rules, or payment processor policies.

16. No Income or Business Results Guaranteed

System Digital Studio does not guarantee any income, profit, traffic, sales, followers, engagement, conversion rate, marketplace approval, advertising approval, account approval, business growth, financial result, or marketing result.

Any examples, templates, resources, strategies, prompts, guides, product ideas, or business materials are provided for educational, informational, creative, or practical use only. Your results depend on many factors, including your skills, offer, pricing, market, traffic, platform rules, advertising, execution, legal compliance, customer service, and business decisions.

You are solely responsible for how you edit, brand, market, advertise, sell, deliver, and use any product purchased from System Digital Studio.

17. Customer Compliance Responsibilities

You are responsible for:

Editing and customizing products correctly;
Branding products honestly and lawfully;
Checking whether a product is suitable for your intended use;
Following all applicable laws and regulations;
Following advertising and marketing rules;
Following marketplace, ecommerce, social media, payment processor, and platform rules;
Handling customer support for products you resell or rebrand;
Managing taxes, business registrations, disclosures, refunds, chargebacks, and compliance obligations for your own business;
Making sure your use does not infringe third-party rights;
Giving accurate license terms to your own customers when resale, MRR, PLR, or white-label use is permitted.

System Digital Studio is not responsible for your business decisions, marketing claims, customer disputes, platform restrictions, legal compliance, tax obligations, or third-party account issues.

18. Product Updates, Changes, and Discontinuation

System Digital Studio may update, modify, replace, improve, remove, or discontinue any product at any time.

We are not required to provide lifetime updates, ongoing revisions, continued access, compatibility updates, new versions, or replacement files unless clearly stated on the product page or required by applicable law.

If a product is updated, the updated version may be subject to different license terms. You are responsible for reviewing any updated license terms before using the updated product.

19. License Violations

If we believe that you have violated these License Terms or the license terms for a specific product, we may take action where appropriate.

Actions may include, but are not limited to:

Suspending or terminating your access to products;
Canceling your license;
Restricting your customer account;
Refusing future purchases;
Sending takedown requests to platforms, marketplaces, hosts, search engines, file-sharing services, or payment processors;
Submitting evidence to payment processors, banks, card networks, dispute platforms, marketplaces, ecommerce platforms, or legal representatives;
Requesting removal of infringing or unauthorized content;
Taking legal action where appropriate.

License violations may also affect your eligibility for refunds, future support, updates, and access to System Digital Studio products.

20. Refunds

Refunds are governed by our Refund Policy.

A license restriction, customer misunderstanding of license rights, failure to read the product description, failure to review the license terms, platform rejection, lack of business results, or inability to use the product in an intended way does not automatically create a right to a refund.

Please review the Refund Policy before purchasing.

21. Relationship With Terms of Service

These License Terms apply in addition to our Terms of Service, Refund Policy, Privacy Policy, Shipping / Digital Delivery Policy, and any product-specific license terms.

If there is a conflict between these License Terms and a specific license included with a product, the product-specific license controls for that product, unless prohibited by applicable law.

If there is a conflict between these License Terms and our Terms of Service, both documents will apply to the fullest extent reasonably possible.

22. Questions About License Rights

If you have questions about what you can or cannot do with a product, contact us before purchasing or before using the product in a commercial, resale, PLR, MRR, or white-label manner.

23. Final License Reminder

Only the rights clearly stated for a specific product are included.

Personal use, commercial use, PLR, MRR, resell rights, white-label rights, editing rights, transfer rights, giveaway rights, redistribution rights, and sublicensing rights are separate rights. One right does not automatically include another.

If a product license does not clearly give you a specific right, you do not have that right.
